The ideal candidate will be responsible for a women-led emerging VC fund's financial strategy, planning, reporting, analysis, audits, compliance, and back office relationships. They will collaborate with the GPs to make key decisions regarding company's financial strategy, deal activities and operations. The candidate will possess a strong background in finance and management.
Responsibilities
Financial & Fund Management
- Partner with investment team to drive deal closure from financial perspective
- Manage strategic aspects of fund portfolio management
- Work with GPs and investment team to develop the fair market value (FMV) calculations for the portfolio according to GAAP and provide independent review of analysis
- Manage the firm’s outsourced back office relationship
- Plan and review capital deployment schedule and update according to the investment team’s planned activities. Plan upcoming capital calls and oversee notice and collection
- Manage and coordinate the annual audit and tax returns of the funds
- Coordinate with tax accountants and back office to calculate tax distributions
- Ensure adequate and cost-effective insurance coverage
- Maintain and expand financial controls including reviewing processes to improve efficiencies
- Negotiate and manage vendor relationships, and work with back-office team to ensure invoices paid in timely manner
- Own the firm’s expense policy and manage reimbursement including managing company credit cards
- When required, assist portfolio companies' founder/CEOs and CFOs/heads of finance with strategic advice and finance best practices, constructing teams, compliance matters, spanning all stages (seed, early, growth) and across sectors.
- Be a thought leader and cultivate relationships with other venture capital funds to identify and incorporate best practices for fund management and portfolio management
Legal
- Ensure firm is in full compliance with applicable regulatory requirements and government filings
- Understand administrative jurisdictions, compliance requirements currently in place and likely to emerge in the future.
- Advise partners on impact of new and upcoming regulations as relates to fund structures
- Review any legal and financing documents for follow-on investment opportunities, new funding rounds, M&A, secondary sales, moving company registrations across domains, etc.
- Own exit management of portfolio companies for either M&A, Secondary Sales or IPO from process, legal and accounting perspective including transfers, legal opinions needed, etc.
- Coordinate legal processes for fundraising, including final execution of all LP documents
- Maintain and develop HR policies and coordinate all legal documents with employees & interns
- Coordinate with outside counsel on ad-hoc legal matters
Reporting
- Create and maintain fund, portfolio, and investor dashboards in conjunction with fund’s back-office team
- Obtain and organize quarterly financials, legal documents and stock certificates for each portfolio company investment
- Prepare data that will flow into annual LP investor update presentation and review presentation prior to meeting
- Prepare data that will flow into annual Impact Report update presentation and review report prior to publishing
- Maintain up-to-date cap tables for all portfolio company investments
- Update various online 3rd party databases to reflect investment activity
- Audit portfolio company D&O insurance policies for compliance with requirements
- Manage annual insurance application process for firm
Investor Relations
- Coordinate regular LP communications including quarterly & annual report distribution
- Respond to ad-hoc LP requests regarding capital calls, commitments, compliance, tax and other related matters
- Assist with diligence requests during fundraising
- Maintain performance metrics in coordination with back office provider
Qualifications & Requirements
- Bachelor’s Degree required, MBA or CFA preferred
- CPA or mastery of accounting preferred
- 5+ years experience in financial operations of a VC, PE, or hedge fund
- Private company valuation experience (e.g. Topic 820) preferred
- Outstanding written and verbal communication skills
- Ability to manage multiple priorities effectively
- Highest degree of integrity, professionalism and maintenance of confidentiality
- Self-directed and detail-oriented
- Have an ability to cultivate a strong network of best-in-class business partners of 3rd party firms including Back Office Fund Administration, Accounting, Tax, Legal, Finance, Diligence
- Occasional overnight business travel expected
